Please read these Terms carefully before using ClearFlow. By creating an account or using the service, you agree to be bound by these terms.

1. Agreement and Acceptance

These Terms of Service ("Terms") are a legally binding agreement between you and ClearFlow governing your use of the ClearFlow application and all related services ("Service"). By clicking "Create account" or otherwise using ClearFlow, you confirm you have read, understood, and agree to these Terms and our Privacy Policy.

2. Eligibility

You must be at least 18 years of age, have the legal capacity to enter a binding contract, and not be prohibited from receiving the Service under applicable law. ClearFlow is intended for personal household budgeting purposes only.

3. Account Registration and Security

You agree to provide accurate account information, keep your password secure and confidential, notify us immediately at security@clearflow.app of any suspected unauthorized access, and accept responsibility for all activity under your account.

ClearFlow uses email-based two-factor authentication on every sign-in. You are responsible for ensuring access to your registered email address. When you set passwords for household members, you represent that they have consented and agree to these Terms.

4. Description of Service

ClearFlow is a personal budgeting application that allows you to create monthly household budgets, connect bank accounts via Teller.io or Plaid for read-only transaction import, log and categorize expenses, generate monthly reports, and share a budget with household members.

Not financial advice

ClearFlow is a budgeting tool only. Nothing in the Service constitutes financial, investment, tax, or other professional advice. Savings projections are estimates based on data you provide. Consult a qualified professional for advice specific to your situation.

5. Acceptable Use

You must not use ClearFlow for any unlawful purpose; attempt unauthorized access to any portion of the Service; reverse engineer or decompile the application; scrape or systematically extract data without written permission; impersonate another person; or interfere with the integrity or performance of the Service.

6. Bank Connectivity and Financial Data

By connecting a bank account, you agree to the terms of Teller (teller.io/legal/privacy) and, if applicable, Plaid (plaid.com/legal). Bank connections are strictly read-only — ClearFlow cannot initiate transactions, move money, or modify your accounts. Transaction data accuracy depends on your financial institution and the connectivity providers; we are not responsible for inaccuracies in data they provide.

7. Intellectual Property

The Service and all its content are owned by ClearFlow and protected by applicable intellectual property laws. You retain ownership of data you enter into ClearFlow and grant us a limited license to process and display it solely for providing the Service.

8. Privacy

Your use is governed by our Privacy Policy. We do not sell your personal information and do not display advertising in the Service.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEARFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE PRECEDING TWELVE MONTHS OR ONE HUNDRED DOLLARS ($100.00).

10. Indemnification

You agree to defend, indemnify, and hold harmless ClearFlow and its officers, directors, employees, and agents from claims arising out of your use of the Service, your violation of these Terms, or your violation of any third-party right.

11. Dispute Resolution and Arbitration

Before initiating any formal dispute, contact us at legal@clearflow.app to attempt informal resolution. If informal resolution fails, disputes shall be resolved by binding arbitration under the AAA Consumer Arbitration Rules. YOU AND CLEARFLOW AGREE TO RESOLVE CLAIMS ONLY INDIVIDUALLY AND NOT AS PART OF ANY CLASS ACTION. You may opt out of arbitration by emailing legal@clearflow.app within 30 days of first accepting these Terms.

12. Termination

You may cancel your account at any time from the Profile panel. All data is permanently and immediately deleted. We may suspend or terminate accounts for violations of these Terms, harmful conduct, or as required by law. Sections 7, 9, 10, 11, and 14 survive termination.

13. Changes to These Terms

We will notify you by email at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Texas. Subject to the arbitration agreement, disputes shall be resolved in the state or federal courts of Dallas County, Texas.
